TEWC (“us”, “we”, or “our”) operates the TEWC website (the “Service”).

The client (“you”, “your”) adheres to the rules set out in these terms and conditions and pays for work carried out by TEWC (the “Service”).

SEO Services

All fees and deposits are non-refundable and must be paid in advance of the work to be carried out. The client will always be given prior notification of any additional costs.

TEWC may offer SEO services or other related services. TEWC uses all reasonable efforts to provide these services to you; however, all services provided depend on innumerable factors and market variables that are outside of TEWC’s direct control. For these reasons, all services offered are not guaranteed and are offered “as-is”. Where you decide to use any services offered by TEWC, you agree that we make no guarantees including but not limited to web placement, rankings, or any profits. You understand that the services offered may have variance. An increase in search engine ranking, increase in business, or any other associated benefits are not guaranteed. Website rankings or results may vary by region, search engine, or fluctuate based on factors outside of our control.

Due to the nature of our services, you agree:

TEWC has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future and the client may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
TEWC cannot and does not guarantee any position change, fixed position, or position increase for any keyword, phrase, or search term.
TEWC makes no representations as to any profits or increased business as related to a client’s use of the services.
TEWC has no control over any actions or inaction by any search engines related to a client’s website or a website’s ranking.

Client’s obligations

For any clients that wish to purchase the services offered via TEWC, you agree that you will promptly cooperate and provide us with:

All back-end access to the website needed for the uploading of new web pages, and making changes on the web pages for the purpose of on-page optimisation.
Permission to communicate directly with any and all necessary staff including third-party vendors.
Full access to all existing website analytics platforms, such as Google Analytics.
Consent for use of all copyrighted material for the use of creating informational pages as well as use for anything else deemed necessary by the service provider for needed optimisation.
Any and all page content for sites as well as any additional content needed. (TEWC offers to provide additional content at a pre-arranged additional cost.)

Failure to cooperate or assist us may prevent the completion of any services offered. TEWC cannot be held responsible for any changes (and the resulting impact) made by the client or a third party to the website or any other property belonging to the client.

Furthermore, TEWC makes no guarantee/warranty of project timeline or need for additional expenses if any of the following occur without prior notification:

  1. Any file additions, or changes to folder, web document, widget or any functionality.
  2. Location of file changes (either to different domain or folder).
  3. Any modifications to text on a web document or in the title tag occur, or any removing of certain HTML tags required for site authentication.
  4. Removing analytics code from the web page which is used to track website traffic.
  5. Renaming URLs of existing web documents.
  6. Taking down the website or any portion of the website.
  7. Renaming, re-locating, adding or removing any file, folder or sub domain on a web server including web documents, robots.txt, .htaccess file, sitemap.xml, rss.xml, etc.
  8. Changes in the site architecture.

Canceling SEO Services

TEWC work on a contract-free rolling month to month payment plan for our SEO services. Once we recieve payment each month we work on your SEO for that given month until the next monthly payment is due.

You can cancel our SEO services at any time by writing to us via email. Once we receive your request we will cancel your subscription within 24 hours.

SEO services will stop at the end of your current paid month, when the next payment is due.

If your payment fails or is not received by us for any reason, and you did not cancel our SEO services in writing, we will stop working on your SEO immediately until the payment is received.

We do not offer refunds or partial refunds for SEO services that you cancel during the given month.

PPC Services

Payments will be taken monthly for the TEWC management fee starting on the day the client proceeds and every month thereafter. There will be no minimum term but TEWC do require a minimum of 1 month notice of a client’s intention to cancel a campaign. Failure to provide a month’s notice will result in the next month’s invoice becoming due.

The client shall pay the chosen search engines directly for their advertising spend TEWC will manage this spend. Where a daily budget has been agreed, the client understands that Google may exceed the daily budget on one day and balance up on a different day as per their terms https://support.google.com/adwords/answer/2375423?hl=en

TEWC can only operate on websites that are permitted to advertise on Google, further information on their policy can be found here https://support.google.com/adwordspolicy/answer/6008942

If TEWC does not receive payment, we will stop managing your PPC account until payment is received. This may negatively affect the client’s website performance and could lead to increased advertising spend.

TEWC will attempt to improve your website traffic using optimised PPC. There is however no guarantee with this service. Your monthly payment covers the time used to plan and execute the clients PPC campaign.

Where conversions are measured in terms of end goals on the client site, TEWC are not responsible for conversions levels in the case of changes to the site / products by the client. For instance, an increase in product price may bring the conversion rate down irrespective of any actions taken within the PPC campaign.

TEWC is not associated with Google.

Web Development Services

The following terms and conditions apply to all website development / design services provided by TEWC to the client.

Acceptance

It is not necessary for any client to have signed an acceptance of these terms and conditions for them to apply. If a client accepts a quote then the client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

Charges

Charges for services to be provided by TEWC are defined in the project quotation that the client receives via e-mail and/or in writing. Quotations are valid for a period of 60 days. TEWC reserves the right to alter or decline to provide a quotation after expiry of the 60 days.

Unless agreed otherwise with the client, all website design services require an advance payment of a minimum of one hundred (100) percent of the project quotation.

Payment for services is due by bank transfer, credit card or direct debit. Bank details will be made available on invoices.

Client Review

TEWC will provide the client with an opportunity to review the appearance and content of the website during the design and development phase, and once the overall website development is completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the client notifies TEWC otherwise within ten (10) days of the date the materials are made available to the client.

Turnaround Time and Content Control

TEWC will install and publicly post or supply the client’s website by the date specified in the project proposal, or at date agreed with client upon TEWC receiving initial payment, unless a delay is specifically requested by the client and agreed by TEWC.

In return, the client agrees to delegate a single individual as a primary contact to aid TEWC with progressing the commission in a satisfactory and expedient manner.

During the project, TEWC will require the client to provide website content; text, images, movies and sound files etc. to populate the website.

Failure to provide required website content:

TEWC is a small business, to remain efficient we must ensure that work we have programmed is carried out at the scheduled time. On occasions we may have to reject offers for other work and enquiries to ensure that your work is completed at the time arranged.

This is why we ask that you provide all the required information at least one (1) week prior to the agreed completion date. On any occasion where progress cannot be made with your website because we have not been given the required information in the agreed time frame, and we are delayed as result, we reserve the right to impose a surcharge of up to 25%. If your project involves Search Engine Optimisation we need the text content for your site agreed in advance so that the SEO can be planned and completed efficiently.

If you agree to provide us with the required information and subsequently fail to do before the agreed time, one (1) week prior to the project completion date we reserve the right to close the project and the balance remaining becomes payable immediately. Simply put, all the above condition says is do not give us the go ahead to start until you are ready to do so.

TEWC agree to make periodical updates to any sites commissioned and hosted by TEWC. This is subject to a fair usage clause. TEWC reserve the right to refuse to update websites if such requests exceed 3 hours of development time per site per annum.

Payment

Invoices will be provided by TEWC upon completion but before publishing the live website. Invoices are sent via email. Invoices are due upon receipt. Accounts that remain unpaid thirty (30) days after the date of the invoice will be assessed a service charge in the amount of the higher of twenty percent (20%) or £30 per month of the total amount due, whichever is greater.

Additional Expenses

Client agrees to reimburse TEWC for any additional expenses necessary for the completion of the work. Examples would be purchase of special fonts, stock photography, plugins etc. This payment will be required prior to the purchase of the additional required materials.

Web Browsers

TEWC makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Microsoft Edge, Google Chrome, etc.). The client agrees that TEWC cannot guarantee correct functionality with all browser software across different operating systems.

TEWC cannot accept responsibility for web pages which do not display acceptably in obselete version or new versions of browsers released after the website have been designed and handed over to the client. As such, TEWC reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.

Termination

Termination of services by the client must be requested in a written notice or email and will be effective on receipt of such notice. Telephone requests for termination of services will not be honoured until and unless confirmed in writing or email. The client will be invoiced for design work completed to the date of first notice of cancellation for payment in full within thirty (30) days.

Indemnity

All TEWC services may be used for lawful purposes only. You agree to indemnify and hold TEWC harmless from any claims resulting from your use of our service that damages you or any other party.

Copyright

The client retains the copyright to data, files and graphic logos provided by the client, and grants TEWC the rights to publish and use such material. The client must obtain permission and rights to use any information or files that are copyrighted by a third party. The client is further responsible for granting TEWC permission and rights for use of the same and agrees to indemnify and hold harmless TEWC from any and all claims resulting from the client’s negligence or inability to obtain proper copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the client to TEWC that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

Standard Media Delivery

Unless otherwise specified in the project quotation, this agreement assumes that any text will be provided by the client in electronic format (text files delivered on USB drive or via e-mail or FTP) and that all photographs and other graphics will be provided in .gif, .jpeg, .png or .tiff format. Although every reasonable attempt shall be made by TEWC to return to the client any images or printed material provided for use in creation of the client’s website, such return cannot be guaranteed.

Design Credit

A link to TEWC will appear in either small type or by a small graphic at the bottom of the client’s website. If a graphic is used, it will be designed to fit in with the overall site design. If a client requests that the design credit be removed, a nominal fee of 20% of the total development charges will be applied. When total development charges are less than £500, a fixed fee of £100 will be applied. The client also agrees that the website developed for the client may be presented in TEWC’s portfolio.

Access Requirements

If the client’s website is to be installed on a third-party server, TEWC must be granted temporary read/write access to the client’s storage directories which must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.

Post-Placement Alterations

TEWC cannot accept responsibility for any alterations caused by a third party occurring to the client’s pages once installed. Such alterations include, but are not limited to additions, modifications or deletions.

Domain Names

TEWC can purchase domain names on behalf of the client. Payment and renewal of those domain names is the responsibility of the client. The loss, cancellation or otherwise of the domain brought about by non or late payment by the client is not the responsibility of TEWC. The client should keep a record of the due dates for payment to ensure that payment is received in good time.

General

These Terms and Conditions supersede all previous representations, understandings or agreements. The client’s acceptance via email, text or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions. Payment online is an acceptance of our terms and conditions.

Liability

TEWC hereby excludes itself, its Employees and or Agents from all and any liability from:

Loss or damage caused by any inaccuracy;

Loss or damage caused by omission;

Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site;

Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.

The entire liability of TEWC to the client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.

Severability

In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid clause.

Non Disclosure Agreement

TEWC agrees to keep all information obtained during the term of a service agreement confidential.

Governing Law

This Agreement shall be governed by English Law.
